TERMS OF PURCHASE (WEB SHOP)

These Terms of Purchase (“Terms”) apply to purchases made by consumers (“you”, “Customer”) from Syntheva AS (“we”, “us”, “Company”) through shop.syntheva.no (“Site”). By placing an order, you agree to these Terms.

2) Sales region

Our products are intended for sale worldwide except the European Union (EU).

Customer responsibility: You are responsible for ensuring that ordering, importing, possessing, and using the products in your location is legal and compliant with local rules.

3) Product information and availability

We try to ensure product descriptions, photos, specifications, and pricing on the Site are accurate. However:
  • Images are illustrative; the delivered product may differ slightly due to revisions, manufacturing tolerances, or supplier changes.
  • Specifications, included accessories, and packaging may change without notice, especially for preorders and custom-built features.
  • We may correct errors (including pricing errors) and may cancel or refuse orders impacted by such errors.

4) Orders and contract formation


Order placement: When you place an order, you are making an offer to purchase.

Acceptance: The purchase contract is formed when we confirm acceptance by (a) sending an order confirmation explicitly accepting the order, and/or (b) shipping the products.

Right to refuse: We may refuse or cancel orders at our discretion, including for suspected fraud, compliance concerns, stock limitations, or pricing/description errors.

5) Pricing, VAT, import duties, and taxes


Prices: All prices are shown excluding VAT/sales tax, unless the Site states otherwise.

Shipping and handling: Shipping fees (if applicable) are shown at checkout or otherwise communicated before payment.

Import costs: Customs duties, import fees, brokerage fees, local taxes, VAT, and similar charges are the Customer’s responsibility and are payable on receipt or as required by local authorities/carriers.

No refund for import refusal: If delivery is refused, delayed, seized, or returned due to import/customs issues or local legal restrictions, we are not responsible for losses, and refunds (if any) will follow Section 10 after deducting all incurred costs.

6) Payment

We offer the following payment methods:

  • Wire transfer (where available)

Payment timing

For standard in-stock purchases, payment is due at checkout.

For preorders, we may offer an unpaid preorder / waiting list option. If you choose this:
  • You are registering interest in specific goods and (where stated) joining a waiting list.
  • No payment is collected at signup.
  • We will contact you with payment instructions (and any updated timelines/spec changes) when the preorder is ready to be paid and fulfilled.
  • We may limit quantities, pause, or close waiting lists at any time.

Wire transfers

You are responsible for any bank fees or intermediary fees.

An order is not confirmed until we receive cleared funds in full.

7) Preorders and custom-built features

Because some items are preordered and/or include custom-built features:
  • Estimates only: Any shipping or delivery timelines are estimates, not guarantees.
  • Changes: We may revise materials, components, firmware/software, design details, or suppliers to improve performance, reliability, compliance, or availability. We will aim to keep functionally equivalent performance but do not guarantee exact component brands/models.
  • Custom-built specifics: If your order includes custom features you selected (e.g., options, add-ons, configurations), you are responsible for confirming your selections are correct before final confirmation/payment (when applicable).
  • Limited quantities: Preorders may be produced in limited batches and may be fulfilled in chronological order, subject to parts availability and compliance.

8) Shipping and delivery

Shipping origin: Products may ship from different countries, depending on inventory and production logistics.

Partial shipments: We may ship items separately.

Delivery attempts: If delivery fails due to incorrect address details or unavailability, additional shipping/handling charges may apply.

Title/ownership: Ownership typically transfers upon delivery to you, unless otherwise required by applicable law.

9) Risk of loss / damage in transit

You must inspect the package and goods promptly upon delivery.

If there is visible package damage, photograph it before opening (if possible) and keep all packaging.

If goods are damaged, you must notify us within 7 days of delivery with photos/videos and a description of the damage.

10) Returns and refunds

Change-of-mind returns are not accepted. Returns are accepted only if the goods are damaged on arrival (or otherwise non-conforming) as described below.

Eligibility

You must contact us within 7 days of delivery and provide evidence (photos/videos).

Items must be returned with all accessories, documentation, and original packaging.

Return shipping

Return shipping is paid by the Customer, unless we explicitly agree otherwise in writing.

Resolution

Depending on the situation and where lawful, we may offer one of the following remedies:
  • replacement of the damaged part/product,
  • repair,
  • partial refund, or
  • refund upon return/verification.

Refunds (if issued) will be processed to the original payment method. Shipping fees, bank fees, customs duties, and import taxes are generally non-refundable.

11) Warranty and consumer rights

We provide any warranty expressly stated on the Site or included with the product documentation.

Nothing in these Terms limits consumer rights that cannot be excluded under applicable law.

12) Acceptable use and safety

You agree to use the products safely, only as intended, and in accordance with all manuals, warnings, and instructions provided by us, and in compliance with applicable laws, regulations, and codes. Where a product is delivered as a multi-part kit, module set, or otherwise requires Customer assembly, installation, wiring, configuration, calibration, or integration (“Assembly”), you acknowledge that the final form and safety of the product depends on how the Assembly is performed. Because we do not control or supervise your Assembly process, we do not warrant that your Assembly will be correct or compliant, and we are not responsible or liable for any damage, injury, loss, or non-compliance arising from or related to Assembly, including (without limitation) improper mechanical assembly, incorrect wiring, grounding, insulation, fastening, tooling, firmware/software configuration, use of incompatible parts, or failure to follow instructions. This includes any electrical safety, electromagnetic compatibility (EMC/EMI), certification, inspection, or other regulatory compliance issues that result from Assembly, installation environment, or modifications. You further agree that misuse, neglect, unauthorized modification, reverse engineering or circumvention of safety features, operation outside recommended operating conditions (including power requirements, load limits, duty cycles, temperature/humidity ranges, ingress protection, ventilation, or maintenance schedules), or use with third-party components not approved by us is at your own risk, and we will not be liable for any resulting damage to the product, persons, animals, or property, or for any consequential losses, to the fullest extent permitted by law.

13) Limitation of liability


To the maximum extent permitted by law:
  • We are not liable for indirect, incidental, consequential, special, or punitive damages (including lost profits, loss of data, or business interruption).
  • Our total liability for any claim relating to an order is limited to the amount you actually paid for the product(s) giving rise to the claim.
  • We are not responsible or liable for the Customer’s failure to comply with any applicable local, regional, national, or international laws, regulations, codes, permits, certifications, or other requirements related to the purchase, importation, customs clearance, possession, transportation, installation, use, or misuse of the product. You are solely responsible for determining, before purchase, whether the product may be legally imported, possessed, and used in your jurisdiction, and for obtaining any required approvals, licenses, registrations, or inspections. Any delays, seizures, fines, penalties, confiscations, refusals, or other losses arising from non-compliance are the Customer’s responsibility.

14) Chargebacks and disputes

If you have an issue, please contact us first at info@shop.syntheva.no so we can try to resolve it quickly. Unjustified chargebacks will result in account restrictions and refusal of future orders.

15) Changes to these Terms

We may update these Terms from time to time. The Terms in effect at the time you place your order apply to that purchase.
